Terms of Service

1. Who We Are (Service Provider)

2. Eligibility and Accounts

• You must be at least [13 / 16] years old, or the minimum age required in your jurisdiction and by Meta, to use the App.
• You must have the authority to manage any Meta profile, Page, or account you connect to the App.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate information and to keep it up to date.

3. The Service and How Publishing Works

The App lets you create, schedule, manage, and publish content to your connected Meta profiles, Pages, or accounts, and provides related analytics. Publishing always happens at your direction:

1. You create or import content within the App.
2. You select the destination (which Page, profile, or account) and review the content.
3. You approve, publish, or schedule the post.
4. The App uses the Meta Graph API and the permissions you granted to post the content on your behalf at the time you chose.
5. Published content is subject to Meta's own terms and policies once it appears on the platform.

You are always in control. We only publish content that you create, schedule, or explicitly approve within the App. We never post on your behalf without an action you have authorized, and you can revoke access at any time (see Section 9 of our Privacy Policy).

4. Meta Permissions and Platform Compliance

When you connect your Meta account, the App requests only the permissions it needs to deliver the features you use, following Meta's principle of least-privilege access. You agree that:

• Your use of Meta data obtained through the App is subject to the Meta Platform Terms and Developer Policies.
• We will use data obtained through Meta permissions only to provide the features you use, as described in our Privacy Policy.
• You may revoke the App's access through your Facebook or Instagram settings at any time, which immediately stops all publishing and data access.

5. Your Content and Responsibilities

You retain all ownership of the content you create, upload, or publish through the App ("Your Content"). You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to provide the Service at your direction.

You are solely responsible for Your Content and agree not to:

• Publish content that is unlawful, infringing, defamatory, deceptive, or that violates any third party's rights.
• Violate the Meta Platform Terms, Community Standards, or any applicable law or regulation.
• Publish spam, malware, or content that you are not authorized to distribute.
• Misrepresent your identity or your authority to publish to a connected account.

6. Acceptable Use

When using the App, you agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the App, except as permitted by law.
• Interfere with, disrupt, or place undue load on the Service or its infrastructure.
• Access the Service through automated means in a way that violates Meta's rate limits or platform rules.
• Use the App to abuse your publishing access, including bypassing the approval and authorization controls described in Section 3.
• Attempt to gain unauthorized access to other users' accounts or data.

7. Fees and Subscriptions

Some features of the App may be offered on a paid basis. Where fees apply, the price, billing cycle, and terms will be presented to you before purchase. Unless otherwise stated:

• Fees are billed in advance and are non-refundable except where required by law.
• Subscriptions renew automatically until cancelled; you may cancel at any time, effective at the end of the current billing period.
• We may change pricing with reasonable advance notice, effective on your next billing cycle.

8. Intellectual Property

The App, including its software, design, trademarks, and content (excluding Your Content), is owned by K.D Technology Solutions and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose, subject to these Terms. No other rights are granted.

9. Third-Party Services

The App relies on third-party services, including Meta Platforms and our service providers and sub-processors. Your use of those services is governed by their respective terms. We are not responsible for the availability, content, or practices of third-party services, and changes those providers make may affect the App's functionality.

10. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that publishing will always succeed, as it depends on Meta's platforms and APIs.

11. Limitation of Liability

To the maximum extent permitted by law, K.D Technology Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the App. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or USD 100 if you have paid nothing.

12. Indemnification

You agree to indemnify and hold harmless K.D Technology Solutions and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the App, or your violation of these Terms, applicable law, or any third party's rights.

13. Suspension and Termination

• You may stop using the App and delete your account at any time.
• We may suspend or terminate your access if you violate these Terms, the Meta Platform Terms, or applicable law, or to protect the Service and its users.
• Upon termination, your right to use the App ends. We handle your data after termination as described in our Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of the App will be subject to the exclusive jurisdiction of the courts located in [Jurisdiction], except where applicable law grants you the right to bring proceedings elsewhere.

15. Changes to These Terms

We may update these Terms from time to time. We will post the new version at https://www.kd-technology.com/ with an updated "Last updated" date and, for material changes, notify you in-app or by email before the change takes effect. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.
